Gebruiksvoorwaarden voor SE Ranking Agency Pack

These Terms of Service ("Terms") govern your access to and use of Provider's Agency Pack, including any content, functionality, and services offered on or through the Agency Pack by Provider or, if you are a User, your access to and use of content made available in the Agency Catalog. 

By accessing or starting to use the Agency Pack and/or the Agency Catalog, you agree to be bound by these Terms and Provider’s Terms of Services available at https://seranking.com/legal/terms-of-services.html (“Provider Terms of Services”). Capitalized terms not defined herein shall have the meanings assigned to them in the Provider Terms of Services. In the event of any conflict between these Terms and the Provider Terms of Services, these Terms shall prevail solely with respect to Agency Pack and Agency Catalog services and content.  If you do not agree to these Terms, please refrain from accessing or using the Agency Pack and the Agency Catalog.

1. Definitions

1.1 Agency Pack: Provider's Agency Pack is a special add-on to Services available to Customers with annual Pro and Business pricing plans (subscriptions) which, in addition to the ability to list Agencies in Provider's Agency Catalog, provides access to the enhanced features such as Lead Generator, White Label, extra user seats, and unlimited automated reporting.

1.2 Agency Catalog: Provider's Agency Catalog is a web page at https://seranking.com/agencies/ or other URL Provider may designate. 

1.3. Agencies: Agencies refer to the Customers who are legal entities providing  SEO and digital marketing services, and who utilize Provider's Agency Pack to enhance their SEO services, access additional features, and/or list their services in Provider's Agency Catalog.

1.4 Provider: Provider shall be one of the following legal entities:

- Seranking Ltd. with an address at Forest House Business Centre 8 Gainsborough Road, Office 2, London, England E11 1HT;

or

- SER Acquisition Inc. with an address at PO Box 19801, C/O the Corporation Trust Company, 1209 Orange Street, City of Wilmington, County of New Castle, Delaware, United States.

1.5. Users: User refers to any who accesses, requests or utilizes the services provided by Agencies or views information about Agencies in the Provider's Agency Catalog.

1.6. You: Customer, Agency and/or User, as applicable.

2. Listing Agencies

2.1 Agency Catalog Inclusion: The primary feature of Provider's Agency Pack is the ability to list Agencies’ services and information in Provider's Agency Catalog. Once Agencies have purchased the Agency Pack, an email notification containing a form to apply for listing in the Agency Catalog will be provided. Agencies must fill out this form completely and accurately to be considered for inclusion in the Agency Catalog.

Only information about one Agency may be listed in the Agency Catalog under one subscription.

If Agencies do not complete this form within 10 days, Provider reserves the right to independently gather information about the Agency from publicly available sources. This information will be published in the Agency Catalog with an "unlisted" status, meaning it will be accessible only via a direct link and the Agency’s information will not be visible for Users. Provider will send an email notification requesting that the Agency review and confirm the accuracy of the information. If Provider does not receive a response within 14 days, information will be considered approved and may be made visible to Users in the Agency Catalog.

2.2 Eligibility: Only Agencies with active annual Pro and Business subscriptions to Services and compliant with the terms of their subscription plan are eligible to be listed in the Agency Catalog. Agencies agree to respond to User inquiries within a reasonable time and deliver its services with industry-standard quality and professionalism. Agencies must maintain valid and active contact information for Users. Provider reserves the right to refuse or remove any Agencies listings from the Agency Catalog at its discretion in case of non-compliance with these Terms.

2.3. Use of Agency services: If you are a User, you understand and agree that Provider neither verify nor endorse any Agency services. It's your responsibility to assess and bear all risks associated with using or relying on such services. Mention of any products, services, procedures, or other information on Provider's Agency Catalog does not imply Provider’s endorsement or recommendation. Listings represent third-party opinions and may contain inaccuracies. Provider does not assure the quality, accuracy, or reliability of Agency services or listings on Provider's Agency Catalog.

3. General Provisions

3.1 Information and Logo License: By using Provider's Agency Pack to list Agencies in the Agency Catalog, Agencies grant Provider a non-exclusive, royalty-free license to use their information and logos for the purpose of promoting and displaying Agencies’ profile in the Agency Catalog.

3.2 Accuracy of Information: Agencies agree to provide accurate and up-to-date information about Agencies and it services when applying for listing in the Agency Catalog. Additionally, Agencies must ensure that the information in the Agency Catalog remains current and timely, updating it as necessary to reflect any changes by submitting an appropriate request via this form to the Provider.

3.3. Users’ inquiries: By using the Agency Pack, Agencies hereby agree to receive inquiries from Users. All inquiries are subject to prior moderation by SE Ranking to verify their authenticity. Once verified, the inquiries will be sent to the Agencies via the email address provided in their listings. Agencies hereby consent to the use of their email address and other information in the Agency Catalog for these purposes and commit to making reasonable efforts to respond to such inquiries promptly.

3.4 Compliance: Agencies agree to comply with all applicable laws and regulations in connection with their use of the Agency Pack.

3.5 Changes to Terms: Provider reserves the right to modify or update these Terms at any time without prior notice. Agencies’ continued use of the Agency Pack after any such changes indicates acceptance of the modified Terms.

3.6 Termination: Agencies may terminate its listing in the Agency Catalog at any time by submitting an appropriate request via this form to the Provider and such removal will be processed within 10 days of receiving the request. Additionally, listings in the Agency Catalog end upon termination of the current subscription, with removal occurring within 14 days after the subscription ends and these Terms remaining in effect until the removal is complete. Provider reserves the right to terminate or suspend Agencies’ access to the Agency Pack at any time, with or without cause, and without prior notice.

3.7 Warranty Disclaimer: WITHOUT PREJUDICE TO ANY WARRANTY DISCLAIMER AND THE LIMITATION OF LIABILITY OUTLINED IN THE PROVIDER TERMS OF SERVICES:

PROVIDER'S AGENCY PACK AND/OR AGENCY CATALOG IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. PROVIDER MAKE NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE AGENCY PACK OR ITS CONTENT. PROVIDER DO NOT WARRANT THAT THE AGENCY PACK WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU AGREE TO USE THE AGENCY PACK AND/OR AGENCY CATALOG AT ITS OWN RISK. PROVIDER SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE AGENCY PACK AND/OR AGENCY CATALOG, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

USERS ACKNOWLEDGE AND AGREE THAT PROVIDER DOES NOT CONTROL, VERIFY, OR ENDORSE ANY AGENCIES’ SERVICES LISTED IN THE AGENCY CATALOG. USERS MUST INDEPENDENTLY EVALUATE AND ASSUME ALL RISKS ASSOCIATED WITH THEIR USE OF OR RELIANCE ON SUCH AGENCIES’ SERVICES. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE QUALIFICATIONS, CREDENTIALS, AND RELIABILITY OF AGENCIES BEFORE ENGAGING IN ANY BUSINESS TRANSACTIONS OR AGREEMENTS. PROVIDER DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY TRANSACTIONS, INTERACTIONS, OR AGREEMENTS ENTERED INTO BETWEEN USERS AND AGENCIES. PROVIDER IS NOT A PARTY TO ANY SUCH TRANSACTIONS AND SHALL NOT BE HELD LIABLE FOR ANY DISSATISFACTION, DISPUTES, DAMAGES OR LOSSES ARISING THEREFROM.
